Terms & Conditions

This Terms & Conditions governs your use of Smart School App ("the Platform"), a multi-tenant School Management SaaS operated by Raei Technologies ("we", "us", "our") from Bangalore, Karnataka, India. By registering, subscribing to, or otherwise accessing the Platform you agree to this document. If you do not agree, please stop using the Platform.

By clicking the "I agree" checkbox during registration, by using any part of the Platform, or by paying any subscription fee, you enter into a binding agreement with Raei Technologies. The person accepting these Terms on behalf of a school warrants that they are authorised to do so.

A school account is created after registration is reviewed and approved by our team. The primary school administrator may create additional accounts for staff, parents and students, each with role-based permissions.

You are responsible for the accuracy of all information provided at registration and for keeping your account details up to date.

• Ensure that all student, parent and staff data uploaded to the Platform is accurate and lawfully collected.
• Obtain any consent required under the DPDP Act, 2023 or other applicable law before recording personal information.
• Assign appropriate roles and permissions and revoke access when a user leaves the institution.
• Use the Platform only for lawful educational and administrative purposes.
• Pay all subscription fees on time.

• Keep login credentials confidential and not share them with any third party.
• Report suspected unauthorised access to the school and to us without delay.
• Use the Platform only to view or communicate about your own child.

• Access only the information necessary to perform assigned duties.
• Not export, copy or share student data outside of the Platform except as authorised by the school.
• Log out from shared devices after each session.

You must use a strong password of at least eight characters, enable two-factor authentication where offered, and not share credentials. You are responsible for all activity that occurs under your account. Notify us at support@raeitech.com if you suspect any compromise.

The Platform, including all software, design, trademarks, logos, documentation and content authored by us, is owned by Raei Technologies and is protected by Indian copyright, trademark and other intellectual property laws. Content uploaded by a school (student data, school logo, announcements) remains the property of the school.

Subject to your compliance with these Terms and payment of applicable fees, we grant your school a non-exclusive, non-transferable, revocable licence to access and use the Platform for its internal educational and administrative purposes during the subscription term.

You must not:

• Copy, modify, reverse-engineer, decompile or create derivative works of the Platform.
• Rent, lease, sublicense or resell access to the Platform to any third party.
• Use the Platform to store or transmit any unlawful, defamatory, obscene or infringing content.
• Attempt to bypass authentication, tenant isolation, or any security feature.
• Scrape, harvest or bulk-extract data other than through official export features.

The Platform is offered on a subscription basis: a 14-day free trial, a monthly plan and an annual plan. Full details are in our Subscription & Billing Policy.

Subscription fees are quoted in Indian Rupees and are exclusive of Goods and Services Tax (GST), which will be added at the applicable rate. Payment is made in advance for the billing cycle chosen. Invoices are generated automatically and are available for download from the school administrator panel.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Platform, whether in contract, tort or otherwise, is limited to the total subscription fees paid by the school to us in the twelve (12) months immediately preceding the event giving rise to the claim.

We are not liable for indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity.

The Platform is provided on an "as is" and "as available" basis. While we take reasonable care to keep the Platform accurate, secure and available, we do not warrant that it will be uninterrupted, error-free, or fit for any particular purpose beyond what is expressly stated in these Terms or the Service Level Agreement.

We may suspend a school's access to the Platform, with or without prior notice, if the school breaches these Terms, fails to pay fees, uploads unlawful content, or if suspension is required by law or is necessary to protect the Platform or other users.

Either party may terminate the subscription in accordance with the Cancellation Policy. On termination, access to the Platform ceases and data handling follows the Data Ownership Policy.

These Terms are governed by and construed in accordance with the laws of India. All matters relating to the interpretation and enforcement of these Terms shall be governed by the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Indian Contract Act, 1872 and the Consumer Protection Act, 2019, as applicable.

The parties will first attempt to resolve any dispute amicably by written notice. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bangalore, Karnataka, India. The language of arbitration shall be English. Subject to the arbitration clause, the courts at Bangalore shall have exclusive jurisdiction.
